Begin with the licensed entity
Identify the license holder, premises and proposed ownership structure. Give OLCC an accurate description of what will change rather than assuming every business sale follows the same route.
Use the current alcohol licensing process
OLCC directs alcohol licensing applications and changes to CAMP, its online platform. Work with the alcohol licensing staff to confirm the application or amendment your transaction needs.
Its guidance also explains the local government recommendation process for applicable applications. Build that coordination into the timeline before promising an operating date.
Allocate the work in the sale plan
- Who supplies ownership and entity information?
- Who coordinates any local government documentation?
- What happens if licensing is not ready by the proposed closing?
- Who may legally operate during any transition?
Confirm authority to operate with OLCC before the buyer takes control. Do not rely on possession of the premises or a signed bill of sale as the answer.
Keep the deal and licensing decisions connected
Ask counsel to align the agreement with the confirmed licensing path. Terms for training, access to the business and closing conditions should fit that path.
